Amendments To Articles of Incorporation

SPECIAL MEETING OF APRIL 7, 2004

Article 1-13 Voting for Directors:  Directors will be elected by a plurality of the votes cast by the members entitled to vote in the election at a meeting at which a quorum is present.

Article 1-14 Inspectors of election:  Entire article is deleted.

Article 5 Actions With Respect to Securities of Other Corporations.

Article 5 was amended to include BANKING RESOLUTION 2-04.
